Terms of Service

Effective Date: 6 February 2026

Welcome to SoldUp. These Terms of Service ("Terms") govern your access to and use of the SoldUp platform, website and related services (collectively, the "Platform") operated by SoldUp Property Group Pty Ltd (ACN 694 543 452) ("SoldUp", "we", "us" or "our").

By creating an account, accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use and protect your personal information.

1. About SoldUp

SoldUp is a private real estate introduction platform that connects property owners ("Owners" or "Sellers") with verified Buyer's Agents ("Buyer's Agents") through a controlled and confidential process. SoldUp also engages qualified Real Estate Agents ("Appraisers") to provide free market appraisals of listed properties.

SoldUp is not a real estate agency and does not act as a Selling Agent, Buyer's Agent, Auctioneer or Property Valuer. SoldUp facilitates introductions only.

2. Eligibility

To use the Platform, you must:

  • be at least 18 years of age
  • be a resident of Australia or legally entitled to own or deal with Australian property
  • provide accurate and truthful information during registration
  • agree to these Terms and our Privacy Policy

3. Account Registration

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access.

We reserve the right to suspend or terminate accounts that provide false information, breach these Terms, or are used in a manner inconsistent with the purpose of the Platform.

4. Roles on the Platform

The Platform supports the following user roles. Each role is subject to role-specific terms outlined below as well as these general Terms:

  • Seller — a property owner who lists a property for private introduction to verified Buyer's Agents
  • Buyer's Agent — a licensed Buyer's Agent who browses listed properties and may contact sellers
  • Appraiser — a qualified Real Estate Agent who provides market appraisals on listed properties

5. Seller Terms

By listing a property on SoldUp, you agree to the following:

5.1 Ownership Confirmation

You confirm that you are the legal owner of the property you list, or you are fully authorised to act on behalf of the legal owner. You agree that all information provided is accurate and truthful.

5.2 Listing Permission

You grant SoldUp permission to display your listing to verified Buyer's Agents. Your listing will never be made public.

5.3 Privacy of Seller Details

Your personal (name and contact information) and property details will never be displayed publicly.

Your property details will be shared with:

  • Appraisers: Following listing upload (without your personal details)
  • Buyer's Agents: once you set a reserve price (without your personal details initially)

Your personal details will be shared with:

  • Buyer's Agents: when they request contact through the platform
  • Appraisers: 7-days after the appraisal is provided, for the purpose of assisting with a potential public listing campaign.

5.4 Appraisal Process

When you submit a listing, SoldUp may assign an appraiser to provide a market appraisal. This appraisal is informational only and not a formal valuation. The Appraiser does not see your personal details at this point in the process.

5.5 Connection Introductions

When a Buyer's Agent requests your contact details, SoldUp records a "connection" containing a timestamp and identification of both parties. This connection is the official introduction event.

5.6 Seller Platform Fee

SoldUp charges Sellers a tiered platform fee based on the final sale price of the Property: $2,950 plus GST for sales under $1,000,000; $3,950 plus GST for sales between $1,000,000 and $1,500,000; and $4,950 plus GST for sales above $1,500,000. This fee is payable when the Seller enters into an unconditional contract of sale with a buyer introduced through the Platform. Full details are set out in the SoldUp Listing Agreement.

5.7 Property Information Accuracy

You agree that all information and media you upload are accurate and lawful. SoldUp reserves the right to remove listings that appear fraudulent or inappropriate.

5.8 Removal or Editing

You may edit or remove your listing at any time. SoldUp may remove listings that breach these Terms or appear fraudulent.

6. Buyer's Agent Terms

Buyer's Agents must be verified by SoldUp to access and use the Platform as a Buyer's Agent. Buyer's Agents may browse listed properties and request contact with Sellers through the Platform. SoldUp does not charge Buyer's Agents any fees to access or use the Platform.

Buyer's Agents may be required to enter into a separate Buyer's Agent Agreement which governs their use of the Platform, including verification requirements, acceptable use, reporting obligations and non-circumvention. These general Terms apply in addition to any Buyer's Agent Agreement. In the event of any conflict, the Buyer's Agent Agreement prevails.

7. Appraisers Terms

Appraisers must enter into a separate Appraisers Agreement which governs all terms of service, including exclusive territory, response timeframes, fees and payment obligations. These general Terms apply in addition to the Appraisers Agreement. In the event of any conflict, the Appraisers Agreement prevails.

8. Limitation of Liability

To the maximum extent permitted by law, SoldUp is not responsible for:

  • negotiations, contracts, settlements, disputes or outcomes between users
  • the accuracy of information provided by other users, including property details and appraisals
  • any loss or damage arising from the use of, or inability to use, the Platform
  • any indirect, incidental, special, consequential or punitive damages

Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

9. Intellectual Property

All content, branding, design, software and materials on the Platform are the property of SoldUp or its licensors and are protected by Australian and international intellectual property laws. You may not reproduce, distribute or create derivative works from any Platform content without our prior written consent.

By uploading content (including property photos, videos and descriptions), you grant SoldUp a non-exclusive, royalty-free licence to use that content for the purpose of operating and promoting the Platform.

10. Acceptable Use

You agree not to:

  • use the Platform for any unlawful purpose
  • provide false or misleading information
  • attempt to access another user's account or data
  • interfere with or disrupt the Platform's operation
  • scrape, harvest or collect data from the Platform by automated means
  • use the Platform to harass, threaten or abuse other users
  • circumvent or attempt to circumvent any security measures

11. Account Suspension and Termination

We may suspend or terminate your account at our discretion if you breach these Terms, provide false information, engage in fraudulent activity or otherwise act in a manner that is harmful to the Platform or other users.

You may request deletion of your account at any time by contacting us. Termination does not release you from any obligations that accrued prior to termination, including any outstanding platform fees.

12. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, regarding the Platform, including warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or secure.

13. Indemnification

You agree to indemnify and hold harmless SoldUp, its directors, officers, employees and agents from and against any claims, losses, damages, liabilities, costs or expenses (including legal fees) arising out of or in connection with your use of the Platform, your breach of these Terms or your violation of any rights of a third party.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria and any courts that may hear appeals from those courts.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and post the updated Terms on the Platform. We recommend that you periodically review these Terms to stay informed. Continued use of the Platform after any changes constitutes acceptance of the updated Terms.

16. Continuing Agreement

These Terms apply to all current and future use of the Platform under your SoldUp account, including all listings created, introductions received and transactions facilitated.
