SoldUp Listing Agreement

1. Introduction

1.1

SoldUp Property Group Pty Ltd (ACN 694 543 452) (SoldUp) operates a private property introduction platform that connects property owners (Seller) with verified Buyers through a controlled and confidential process.

1.2

SoldUp is not a Real Estate Agency or Buyers Agency and does not act as a Selling Agent, Buyer's Agent, Auctioneer or Property Valuer. SoldUp facilitates introductions only.

1.3

This Agreement governs the commercial relationship between SoldUp and the Seller in connection with the listing of the Property on the Platform and the Introduction Fee payable on a successful transaction.

1.4

This Agreement should be read in conjunction with SoldUp's Terms of Service and Privacy Policy.

2. Definitions

In this Agreement, the following definitions apply:

2.1

"Platform" means the SoldUp website, application and related services.

2.2

"Property" means the property listed by the Seller on the Platform, as described in the listing details.

2.3

"Services" or "the Service" means the property introduction platform and facilitation services provided by SoldUp through the Platform, including facilitating the Property listing, appraisal and introductions to Buyers.

2.4

"Introduction" means the formal connection event recorded by SoldUp when a Buyer requests and receives the Seller's contact details through the Platform.

2.5

"Transaction" means the successful unconditional exchange of contracts for the sale of the Property to a Buyer introduced through the Platform.

2.6

"Introduction Fee" means the flat fee payable by the Seller to SoldUp, due and payable 5 business days after a Transaction.

2.7

"Buyer" means a licensed buyer's agent or qualified buyer registered on the Platform.

2.8

"Real Estate Agent" means a licensed real estate agent registered on the platform as an appraiser.

3. SoldUp Obligations

3.1

SoldUp provides the Services to the best of its abilities and aims to provide an excellent user experience for both Sellers and other users when interacting with the Platform.

3.2

SoldUp agrees to list the Property on the Platform and provide registered Buyers with access to the Property details.

3.3

SoldUp does not conduct open homes, negotiate on behalf of the Seller, manage the transaction process, or provide ongoing agency services beyond introduction.

3.4

SoldUp does not guarantee that the Seller will receive any introductions, or any particular number of introductions, or that the Property will sell.

3.5

The Service is provided on an exclusive but no lock in basis. SoldUp reserves the right to remove any listing that is advertised for sale on any other public platform. The Seller is free to remove their listing and sell their Property through another platform or agent at any time with no penalty.

4. Seller Commitments

4.1

To utilise the Platform and Service, Sellers must provide information requested via the Platform to set up a User profile. The information supplied must be accurate, to the best of the User's knowledge, and the User must keep that information accurate going forward.

4.2

The Seller confirms they are the legal owner of the Property or are fully authorised to act on behalf of the legal owner.

4.3

Sellers must conduct themselves professionally, courteously and with integrity in all dealings with third parties in connection with the Service. Sellers must not engage in conduct that could reasonably be expected to harm the reputation of SoldUp or the Service.

4.4

The Seller confirms that they do not have their Property advertised on any other public platform whilst it is visible to Buyers on SoldUp.

5. Introduction Fee

5.1

The Seller agrees to pay SoldUp the Introduction Fee within 5 business days of the Transaction.

5.2

The Introduction Fee is:

  • $2,950 for Transactions below $1,000,000
  • $3,950 for Transactions between $1,000,000 and $1,500,000
  • $4,950 for Transactions above $1,500,000
5.3

SoldUp will issue a tax invoice once notified of the Transaction.

5.4

SoldUp will waive the Introduction Fee if the Property does not sell through a SoldUp-introduced Buyer or is sold through another means.

5.5

If a Transaction occurs through a SoldUp introduced Buyer after the termination of this Agreement but within 12 months of a SoldUp Introduction, the Introduction Fee remains payable.

6. Reporting Requirements

6.1

The Seller must promptly (within 2 Business Days) report to SoldUp the following information in the event of a Transaction: the date of the Transaction in respect to the Property, together with the sale price and expected settlement date.

6.2

If the Seller fails to notify SoldUp in accordance with Clause 6.1, SoldUp may restrict or limit the User's access to the Platform and Services.

7. Term and Termination

7.1

This Agreement commences immediately upon acceptance of these terms and continues until either:

  • in the event of a Transaction, full payment of the Introduction Fee is received by SoldUp
  • in the event of no Transaction, withdrawal of the listing by the Seller
7.2

The Seller may withdraw their listing at any time at no cost, provided a Transaction has not yet occurred.

7.3

SoldUp may terminate this Agreement immediately if the Seller breaches any material term, provides false or misleading information, or acts in a manner harmful to the Platform or other users.

7.4

Clause 5.5 (tail period fee obligation) survives termination.

8. Governing Law

This Agreement is governed by the laws of Victoria, and the parties submit to the exclusive jurisdiction of its courts.
