SoldUp Property Group Pty Ltd (ACN 694 543 452) (SoldUp) operates a private property introduction platform that connects property owners (Seller) with verified Buyer's Agents (Buyer's Agent) and Real Estate Agents (Real Estate Agent) through a controlled and confidential process.
SoldUp is not a Real Estate Agency or Buyers Agency and does not act as a Selling Agent, Buyer's Agent, Auctioneer or Property Valuer. SoldUp facilitates introductions only.
This Agreement governs the commercial relationship between SoldUp and the Seller in connection with the listing of the Property on the Platform and the Introduction Fee payable on a successful transaction.
This Agreement should be read in conjunction with SoldUp's Terms of Service and Privacy Policy.
In this Agreement, the following definitions apply:
"Platform" means the SoldUp website, application and related services.
"Property" means the property listed by the Seller on the Platform, as described in the listing details.
"Services" or "the Service" means the property introduction platform and facilitation services provided by SoldUp through the Platform, including facilitating the Property listing, appraisal and introductions to Buyer's Agents.
"Introduction" means the formal connection event recorded by SoldUp when a Buyer's Agent requests and receives the Seller's contact details through the Platform.
"Transaction" means the successful unconditional exchange of contracts for the sale of the Property to a Buyer introduced through the Platform.
"Introduction Fee" means the tiered fee payable by the Seller to SoldUp based on the final sale price of the Property, due and payable 5 business days after a Transaction.
"Buyer's Agent" means a licensed buyer's agent registered on the Platform.
SoldUp provides the Services to the best of its abilities and aims to provide an excellent user experience for both Sellers and other users when interacting with the Platform.
SoldUp agrees to list the Property on the Platform provide registered Buyer's Agents with access to the Property details.
SoldUp does not conduct open homes, negotiate on behalf of the Seller, manage the transaction process, or provide ongoing agency services beyond introduction and facilitation.
SoldUp does not guarantee that the Seller will receive any introductions, or any particular number of introductions, or that the Property will sell.
The Service is provided on a non-exclusive basis. The Seller may simultaneously engage other agents or platforms.
To utilise the Platform and Service, Sellers must provide information requested via the Platform to set-up a User profile. The information supplied must be accurate, to the best of the Users knowledge and the User must then keep that information accurate going forward.
The Seller confirms they are the legal owner of the Property or are fully authorised to act on behalf of the legal owner.
Sellers must conduct themselves professionally, courteously and with integrity in all dealings with third parties in connection with the Service. Sellers must not engage in conduct that could reasonably be expected to harm the reputation of SoldUp or the Service.
The Seller agrees to pay SoldUp the Introduction Fee as determined by the final unconditional sale price of the Property: $2,950 (exclusive of GST) for sales under $1,000,000; $3,950 (exclusive of GST) for sales between $1,000,000 and $1,500,000; and $4,950 (exclusive of GST) for sales above $1,500,000.
The Introduction Fee is due and payable within 5 business days of the Transaction date. SoldUp will issue a tax invoice once notified of the Transaction Date.
SoldUp will waive the Introduction Fee if the Property does not sell through a SoldUp-introduced Buyer's Agent or is sold through another means.
If a Transaction occurs through a SoldUp introduced Buyer's Agent after the termination of this Agreement but within 12 months of a SoldUp Introduction, the Introduction Fee remains payable.
The Seller must promptly (within 2 Business Days) report to SoldUp the information listed below in the event of a Transaction:
If the Seller fails to notify SoldUp in accordance with the above paragraph, SoldUp may restrict or limit the Users access to the Platform and Services.
This Agreement commences immediately upon acceptance of these terms and continues until either:
The Seller may withdraw their listing at any time at no cost, provided a Transaction has not yet occurred.
SoldUp may terminate this Agreement immediately if the Seller breaches any material term, provides false or misleading information, or acts in a manner harmful to the Platform or other users.
Clause 5.4 (tail period fee obligation) survives termination.
SoldUp owns all rights in the Platform, including all branding, software, content, features and data generated by its operation.
To enable SoldUp to operate the Service, Sellers grant SoldUp a non-exclusive, royalty-free licence to use, store, display and distribute any information or content the Users provide (including profile information and contact details) as reasonably necessary to provide the Service.
The Seller indemnifies SoldUp against any loss, cost, liability, damage or expense SoldUp incurs arising from:
This indemnity is limited to the extent any loss is caused by SoldUp's own negligence or misconduct.
To the maximum extent permitted by law, SoldUp is not liable for any indirect or consequential loss, including loss of profit, loss of opportunity or loss of reputation.
SoldUp does not guarantee:
To the extent permitted by law, SoldUp's total aggregate liability to the Seller for any claim under or in connection with this Agreement is limited to the total Introduction Fees collected by SoldUp from transactions involving the Seller in the six months prior to the event giving rise to the claim.
Nothing in this Agreement limits any consumer guarantee or right that cannot be excluded under the Australian Consumer Law.
This Agreement is governed by the laws of Victoria, and the parties submit to the exclusive jurisdiction of its courts.
